01Eligibility
- The Referrer agrees to refer potential clients to the ADANTO SOFTWARE who may require IT software development services.
- The referral program is open to individuals and businesses who wish to refer potential clients to ADANTO SOFTWARE
- Employees of ADANTO SOFTWARE and their immediate family members are not eligible to participate.
- Referral individuals must be at least 18 years old.
- A referral must be a company or organization that is not already in active discussions with ADANTO SOFTWARE
- The referred company must have a legitimate interest in software services and meet the minimum contract value of $100,000 per year.
- The referred company must sign a contract with ADANTO SOFTWARE within 12 months of the referral date.
- Self-referrals or referrals within the same company will not be considered.
- The ADANTO SOFTWARE has sole discretion to accept or decline any referred client.
02How to Submit a Referral
- Referrals must be submitted through the official referral form on www.adanto.com
- The referral submission must include the referrer’s full name, email address, referred company details, and the contact person at the referred company.
- Only referrals submitted through the official process will be eligible for rewards
03Referral Fee Structure
- Referrers will receive a reward upon successful signing of a contract between ADANTO SOFTWARE and the referred company.
- The ADANTO SOFTWARE agrees to pay the Referrer a commission based on the first-year contract value of each successful referral.
- The referral fee shall be 10% of the first-year contract value (verified by the referred company), capped at $50,000 per referral.
- If the referred client signs a multi-year contract, the referral fee applies only to the first year unless otherwise agreed in writing.
- The minimum contract value for eligibility is $100,000.
04Payment Terms
- The referral fee shall be paid within 30 days after the referred client makes their first payment to ADANTO SOFTWARE.
- Payments shall be made via Bank Transfer/Check/Other Payment Method agreed with by and to the account details provided by the Referrer.
05Referral Process
- The Referrer must submit a written introduction of the prospective client to the ADANTO SOFTWARE.
- If the same client is referred to by multiple referrers, the first submission received will be honored.
- The referral remains valid for 12 months from the date of submission. If the client signs a contract after this period, no referral fee will be due.
06Independent Contractor Relationship
- The Referrer acts as an independent contractor and not an employee, agent, or representative of the ADANTO SOFTWARE.
- The Referrer shall not make any commitments or representations on behalf of the ADANTO SOFTWARE.
07Limitations and Exclusions
- There is no limit to the number of referrals a person can submit, but each referral must be unique.
- ADANTO SOFTWARE reserves the right to reject referrals that do not meet the eligibility criteria.
- Rewards are subject to tax reporting and compliance with applicable laws.
08Termination and Modification
- ADANTO SOFTWARE reserves the right to modify, suspend, or terminate the referral program at any time without prior notice.
- Any disputes regarding referrals and rewards will be resolved at the sole discretion of ADANTO SOFTWARE
09Privacy Policy
- All personal information collected as part of the referral program will be handled in accordance with ADANTO SOFTWARE’s Privacy Policy.
- By submitting a referral, the referrer agrees to allow ADANTO SOFTWARE to contact the referred company.

11Confidentiality
Both parties agree to keep any client information and business details confidential and use them solely for the purpose of this Agreement.
12Termination
- Either party may terminate this Agreement with 30 days written notice.
- Any referrals made before termination will still be eligible for commission, provided the contract is signed within the 12-month validity period.
13Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Idaho.
